Terms of Service

These Terms of Service (“Terms”) govern your use of truenorthsupply.ca and any related content, products, and services (the “Site”). True North Supply is a division of Ayres Capital Enterprises LTD., a company incorporated in Ontario, Canada (“we”, “us”, “our”). By accessing or using the Site, you agree to be bound by these Terms.

1. Acceptance of these Terms

By visiting, browsing, or using truenorthsupply.ca, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site. You must be of legal age to form a binding contract in your jurisdiction.

2. Use of the Site

You agree to use the Site lawfully and responsibly. You must not:

• Use the Site in any way that breaches applicable laws or regulations.
• Attempt to gain unauthorized access to the Site, its servers, or connected systems.
• Introduce viruses, malware, or other harmful code.
• Interfere with or disrupt the Site or other users’ use of it.
• Copy, scrape, or harvest content or data except as expressly permitted.
• Use the Site to transmit unsolicited or unauthorized advertising or spam.

We may suspend, restrict, or terminate your access at any time if you breach these Terms or for any reasonable operational or legal reason.

3. Intellectual property

All content on the Site — text, graphics, logos, images, layout, branding, and software — is owned by or licensed to Ayres Capital Enterprises LTD. and is protected by copyright, trademark, and other laws. You may view and use the Site for your own personal, non-commercial purposes. You may not reproduce, distribute, modify, publicly display, or create derivative works from any part of the Site without our prior written permission, except where permitted by law. True North Supply and associated logos are trademarks or brand names of Ayres Capital Enterprises LTD.

4. Purchases, pricing, and refunds

Online sales are forward-looking: our store is being prepared and is not yet open. The following terms apply when you make a purchase through the Site.

• Pricing. Prices are shown in the currency indicated and may change without notice. We may correct obvious errors and cancel affected orders.
• Orders. Submitting an order is an offer to purchase; a contract forms only when we confirm acceptance.
• Payment. Payments are processed by third-party providers. We do not store full payment-card details. Your purchase is also subject to the processor’s terms.
• Taxes and shipping. Applicable taxes (including Canadian HST/GST) and shipping charges are shown before you complete your purchase.
• Refunds and returns. Our refund, return, and cancellation terms are stated at the point of sale or in a separate policy. Your statutory rights under Ontario and Canadian consumer-protection law are not affected.

5. User submissions

If you send us content (through a contact form, review, or message), you confirm it is accurate, lawful, and does not infringe anyone’s rights. You grant us a non-exclusive, royalty-free licence to use that content for the purpose for which you submitted it. We may remove any submission at our discretion.

6. Disclaimers

The Site and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranties, express or implied, about the Site’s accuracy, completeness, reliability, fitness for a particular purpose, or availability. Content is for general information only and is not professional, legal, financial, or technical advice. We do not guarantee the Site will be uninterrupted, secure, or error-free.

7. Limitation of liability

To the fullest extent permitted by law, Ayres Capital Enterprises LTD. and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of (or inability to use) the Site. Where liability cannot be excluded, our total aggregate liability is limited to the amount you paid us (if any) for the relevant product or service, or CAD $100, whichever is greater. Nothing here limits liability that cannot lawfully be limited, including for fraud or under Ontario or Canadian consumer-protection law.

8. Third-party links and services

The Site may link to or rely on third-party websites and services (such as analytics and hosting providers). We are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.

9. Indemnification

You agree to indemnify and hold harmless Ayres Capital Enterprises LTD. and its representatives from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. You agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights you may have.

11. Changes to these Terms

We may update these Terms from time to time. The effective date above shows when they were last revised. Changes take effect when posted on this page. Continued use of the Site after changes are posted means you accept the updated Terms.

12. Severability and entire agreement

If any provision is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy, form the entire agreement between you and us regarding the Site.
